Terms of Service

These Terms of Service ("Terms") are a contract between you and [LEGAL ENTITY NAME — e.g., Sweetwater Labs LLC] ("Company," "we," "us") and govern your use of Sprout (the "Service"). By texting our keyword, signing up, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, a resident of the United States, and have a U.S. mobile number and a U.S. financial account to use the Service. You agree to provide accurate information and to use only your own phone number and your own financial accounts.
2. The Service
Sprout lets you link a financial card or account once through Plaid and then texts you a summary of the prior day's spending and your month-to-date total each morning. You can also text questions about your own spending and receive automated replies. The Service provides information about your spending. It is not financial, tax, investment, or other professional advice, and you should not rely on it as such.
Spending figures are derived from data provided by your financial institution through Plaid and may be delayed, incomplete, or include pending amounts that later change. Always verify important figures with your financial institution.
3. Accounts and authentication
Your account is tied to your mobile number. We authenticate you by sending a one-time login link by text. You are responsible for maintaining control of your phone number and for activity that occurs through your account. Notify us promptly if you believe your number or account has been compromised.
4. Messaging, consent, and opt-out
By opting in, you consent to receive recurring automated text messages from Sprout, including your daily spending summary and replies to messages you send. Message frequency varies. Message and data rates may apply, and your mobile carrier is not liable for delayed or undelivered messages. The Service uses iMessage where available and falls back to SMS.
You may opt out at any time by replying STOP (or UNSUBSCRIBE, QUIT, or END). Reply HELP for help, START to resume, and PAUSE to temporarily pause your daily texts without unsubscribing.
5. Subscriptions, free trial, billing, and cancellation
The Service is offered on a paid subscription, currently $9 per month or $80 per year, as presented to you at sign-up. The exact amount and any taxes are shown before you confirm payment at checkout, which is processed by Stripe.
New subscriptions begin with a free trial (currently 3 days). A valid payment method is required to start the trial. If you do not cancel before the trial ends, your subscription begins and your payment method is charged automatically.
Your subscription automatically renews at the end of each billing period (monthly or annual) at the then-current price, until you cancel. You can cancel at any time by replying CANCEL (which opens your billing portal) or through your dashboard. Cancellation takes effect at the end of your current paid period; you keep access until then, and you will not be charged for the next period.
Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods or unused time. To avoid being charged after a free trial, cancel before the trial ends. We may change prices or plans on a going-forward basis with notice as required by law; changes do not affect the period you have already paid for.
If a payment fails, we will notify you and ask you to update your payment method. If payment continues to fail, your subscription and access may be suspended or canceled. While you are not on an active trial or paid plan, certain features (your daily texts and the assistant) are unavailable.
6. Bank connection authorization
By linking an account, you authorize us and Plaid to access transaction information from that account on an ongoing basis in order to provide the Service, and you represent that you are authorized to grant that access. You may disconnect a linked account at any time, which stops further data collection from that account. Disconnecting an account does not by itself delete previously collected data; see our Privacy Policy for deletion requests.
7. Acceptable use
You agree to use the Service only for your own lawful, personal, non-commercial purposes. You will not: use the Service to access accounts or data that are not yours; attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service; use it to harass, abuse, or harm others; or use automated means to access it other than as intended. We may apply reasonable rate limits to automated assistant queries.
8. Intellectual property
The Service, including its software, content, and branding, is owned by the Company or its licensors and is protected by law. We grant you a limited, personal, non-transferable, revocable license to use the Service in accordance with these Terms. You retain your own data; you grant us the rights needed to operate and provide the Service to you.
9. Third-party services
The Service relies on third parties (including Plaid, Stripe, Sendblue, Twilio, Anthropic, Supabase, and Vercel). Your use of those services through the Service may also be subject to their terms, and we are not responsible for their acts or omissions.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that spending figures or assistant responses will be accurate or complete. The Service is informational and is not financial, tax, investment, accounting, or legal advice.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless the Company and its personnel from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time by canceling your subscription, replying STOP, and/or requesting deletion of your data. We may suspend or terminate your access if you violate these Terms, if we suspect fraud or unlawful use, for non-payment, or as needed to comply with law or protect the Service or others. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.
14. Changes to these Terms
We may update these Terms from time to time. We will revise the date above and, for material changes, provide notice as required by law. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of [U.S. state — e.g., Delaware], without regard to its conflict-of-laws rules.
